Process for Registered Partnerships (LP, LLP, and RLLP)

Note: Our office no longer accepts paper Corporation Part 1 and Part 2 submissions and checks, and paper forms are no longer available on our Board's website. These filings are required to be submitted through your licensure Gateway account.

Step #1 : Corporations Part 1 filing with NCVMB

The purpose of a Corporations Part 1 filing is to obtain a Certification of Licensure Memorandum ("LOM") from our Board. The LOM certifies to the N.C. Secretary of State ("NCSOS") that the partnership is in compliance with Chapter 59 and Chapter 90, Article 11, of the North Carolina General Statutes and the rules of our Board.

  • Complete and sign the applicable NCSOS partnership form (Form LP-01 for a limited partnership (LP), which also includes an optional application for a registered limited liability partnership (RLLP), or Form LLP-01 for a limited liability partnership (LLP)) and save it to your desktop. Ensure that your entity name, depending on the type of partnership you are forming, has the required ending of either LP, LLP, or RLLP.
  • Log into your licensure Gateway account. Once logged in, look for the Applications tab at the top of the page and select "Corporations Part 1" from the drop-down menu.
  • Complete our Board's application. When prompted, upload your completed and signed partnership form. The filing fee of $160.00 is payable by credit card at the end of the application process.

Our office will receive a notification when our Board's application, the partnership form and filing fee have been successfully submitted. We will review the documents within 24 to 48 business hours following submission. If no corrections are needed, we will issue the LOM and email it to you. If your documents contain errors, we will send you an email explaining how to correct the errors and how to resubmit the corrected documents to our office.

Step #2 : File with the NCSOS

You will submit the exact same completed and signed partnership form that was approved by our Board and the LOM through the NCSOS online portal with the required filing fee, which is currently $50.00 for a limited partnership (LP), $125.00 for a limited liability partnership (LLP) and $125.00 for a registered limited liability partnership (RLLP). Step #3 : Corporations Part 2 filing with NCVMB

Once you have received a filed copy of your partnership document back from the NCSOS, you will need to submit your Corporations Part 2 filing. This is necessary so that we can change the status of your partnership on our Board's records from "pending" to "active."

  • Have a complete copy of your filed partnership document saved to your desktop.
  • Log into your licensure Gateway account. Once logged in, on the homepage, under the "Licenses & Certificates" heading, look for a box with the name of your partnership and the words "Pending / Part 2" and click on the blue heading stating "Click here for Part 2 Application!". In the grey box titled "Options," look for the briefcase with the words "Part 2" beneath it, and click on the briefcase to begin the filing.
  • Complete a short application. When prompted, upload a copy of your filed partnership document. No filing fee is required.

Our office will receive a notification when your application and the filed partnership document have been successfully submitted. We will review the documents within 24 to 48 business hours following submission. You will receive an email notification when the Corporations Part 2 application has been filed and your partnership has become "active" on our Board's records.

 

Annual Renewal

All partnerships are required to be renewed annually with our Board, regardless of the date of the formation, and the renewal must be completed by December 31. Failure to comply with our Board's renewal requirements could result in suspension of the partnership by the NCSOS.
