Process for Forming a Professional Limited Liability Company (PLLC)
Note: Our office no longer accepts paper Corporation Part 1 and Part 2 submissions and checks, and paper forms are no longer available on our Board's website. These filings are required to be submitted through your licensure Gateway account.
Step #1 : Corporations Part 1 filing with NCVMB
The purpose of a Corporations Part 1 filing is to obtain a Certification of Licensure Memorandum ("LOM") from our Board. The LOM certifies to the N.C. Secretary of State ("NCSOS") that the professional limited liability Company is in compliance with Chapter 90, Article 11, and Section 57D-2-01 of the North Carolina General Statutes and the rules of our Board.
- Complete and sign NCSOS Articles of Organization (Form PLLC-02) and save them to your desktop. Ensure that your entity name has the required ending of PLLC.
- Log into your licensure Gateway account. Once logged in, look for the Applications tab at the top of the page and select "Corporations Part 1" from the drop-down menu.
- Complete our Board's application. When prompted, upload your completed and signed Articles of Organization. The filing fee of $160.00 is payable by credit card at the end of the application process.
Our office will receive a notification when our Board's application, the Articles of Organization, and filing fee have been successfully submitted. We will review the documents within 24 to 48 business hours following submission. If no corrections are needed, we will issue the LOM and email it to you. If your documents contain errors, we will send you an email explaining how to correct the errors and how to resubmit the corrected documents to our office.
Step #2 : File with the NCSOS
You will submit the exact same completed and signed Articles of Organization that were approved by our Board and the LOM through the NCSOS online portal with the required filing fee, which is currently $125.00. Step #3 : Corporations Part 2 filing with NCVMB
Once you have received a filed copy of your Articles of Organization back from the NCSOS, you will need to submit your Corporations Part 2 filing. This is necessary so that we can change the status of your limited liability company on our Board's records from "pending" to "active."
- Have a complete copy of your filed Articles of Organization saved to your desktop.
- Log into your licensure Gateway account. Once logged in, on the homepage, under the "Licenses & Certificates" heading, look for a box with the name of your limited liability company and the words "Pending / Part 2" and click on the blue heading stating "Click here for Part 2 Application!". In the grey box titled "Options," look for the briefcase with the words "Part 2" beneath it, and click on the briefcase to begin the filing.
- Complete a short application. When prompted, upload a copy of your filed Articles of Organization. No filing fee is required.
Our office will receive a notification when your application and the filed Articles of Organization have been successfully submitted. We will review the documents within 24 to 48 business hours following submission. You will receive an email notification when the Corporations Part 2 application has been filed and your limited liability company has become "active" on our Board's records.
Annual Renewal
Professional limited liability companies are renewed annually with our Board, regardless of the date of the formation, and the renewal must be completed by December 31. Failure to comply with our Board's renewal requirements could result in suspension of the professional limited liability company by the NCSOS.
