Process for Foreign Professional Corporations and Foreign Professional Limited Liability Companies
Note: Our office no longer accepts paper Corporation Part 1 and Part 2 submissions and checks, and paper forms are no longer available on our Board's website. These filings are required to be submitted through your licensure Gateway account.
Step #1 : Corporations Part 1 filing with NCVMB
The purpose of a Corporations Part 1 filing is to obtain a Certification of Licensure Memorandum ("LOM") from our Board. The LOM certifies to the N.C. Secretary of State ("NCSOS") that the owners(s) of all shares of stock in the foreign professional corporation or members(s) in a foreign professional limited liability company are in compliance with the requirements of Chapter 55B, "The Professional Corporation Act," of the North Carolina General Statutes.
- Complete and sign the applicable NCSOS application (Form PC-01 for a foreign professional corporation and Form PLLC-01 for a foreign professional limited liability company). Ensure that the name on your application exactly matches the name on your Certificate of Existence or Certificate of Good Standing from your home state (which cannot be more than six (6) months old). Save the application and the Certificate of Existence or Certificate of Good Standing to your desktop.
- Log into your licensure Gateway account. Once logged in, look for the Applications tab at the top of the page and select "Corporations Part 1" from the drop-down menu.
- Complete our Board's application. When prompted, upload your completed and signed Form PC-01 or PLLC-01 and the Certificate of Existence or Certificate of Good Standing. The filing fee of $160.00 is payable by credit card at the end of the application process.
Our office will receive a notification when our Board's application, your documents and filing fee have been successfully submitted. We will review the documents within 24 to 48 business hours following submission. If no corrections are needed, we will issue the LOM and email it to you. If your documents contain errors, we will send you an email explaining how to correct the errors and how to resubmit the corrected documents to our office.
Step #2 : File with the NCSOS
You will submit the exact same completed and signed Form PC-01 or Form PLLC-02 and the Certificate of Existence or Certificate of Good Standing that were approved by our Board and the LOM through the NCSOS online portal with the required filing fee, which is currently $250.00. Step #3 : Corporations Part 2 filing with NCVMB
Once you have received a filed copy of your Form PC-01 or Form PLLC-02 back from the NCSOS, you will need to submit your Corporations Part 2 filing. This is necessary so that we can change the status of your entity on our Board's records from "pending" to "active."
- Have a complete copy of your filed Form PC-01 or Form PLLC-02, including the Certificate of Existence or Certificate of Good Standing, saved to your desktop.
- Log into your licensure Gateway account. Once logged in, on the homepage, under the "Licenses & Certificates" heading, look for a box with the name of your entity and the words "Pending / Part 2" and click on the blue heading which states "Click here for Part 2 Application!". In the grey box titled "Options," look for the briefcase with the words "Part 2" beneath it, and click on the briefcase to begin the filing.
- Complete a short application. When prompted, upload a copy of your filed Form PC-01 or PLLC-02, including the Certificate of Existence or Certificate of Good Standing. No filing fee is required.
Our office will receive a notification when your application and the filed documents have been successfully submitted. We will review the documents within 24 to 48 business hours following submission. You will receive an email notification when the Corporations Part 2 application has been filed and your entity has become "active" on our Board's records.
Annual Renewal
Foreign corporations and foreign professional limited liability companies are required to be renewed annually with our Board, and the renewal must be completed by December 31. Failure to comply with our Board's renewal requirements could result in suspension of the entity by the NCSOS.
