Dissolving Professional Corporations and Professional Limited Liability Companies

Note: This section pertains only to professional corporations and professional limited liability companies that have been incorporated/formed through the North Carolina Secretary of State ("NCSOS").

Professional Corporations (PA, PC, and Inc.)

Step #1:
Submit your completed and signed Articles of Dissolution (either Form B-05 or B-06) through the NCSOS online portal with the required filing fee, which is currently $30.00. For questions or assistance, please contact the NCSOS Call Center at (919) 814-5400 (M - F, 8 am to 5 pm).

Step #2:
It is the corporation's responsibility to notify our Board once the entity has been dissolved by the NCSOS. Please either mail to our Board or email to prodenburg@ncvmb.org a file-stamped copy of the Articles of Dissolution issued by the NCSOS. The corporation will remain active on our records until the file-stamped copy has been received.

Professional Limited Liability Companies (PLLC)

Step #1:
Submit your completed and signed Articles of Dissolution (Form L-07) through the NCSOS online portal with the required filing fee, which is currently $30.00. For questions or assistance, please contact the NCSOS Call Center at (919) 814-5400 (M - F, 8 am to 5 pm).

Step #2:
It is the company's responsibility to notify our Board once the entity has been dissolved by the NCSOS. Please either mail to our Board or email to prodenburg@ncvmb.org a file-stamped copy of the Articles of Dissolution issued by the NCSOS. The company will remain active on our records until the file-stamped copy has been received.
